1. Changes to Terms

We may modify these Terms (including adding or removing terms) at any time and changes are effective immediately upon posting. Continued use of the Websites after posting constitutes acceptance of the changes.

2. Changes to Websites

We may change or discontinue any aspect, service, or feature of the Websites at any time, including content, availability, or required equipment for access.

3. Registration

• You may be offered registration and Interactive Areas (forums, community features). You may create an account and Credentials (username/password or other authentication).
• By registering you represent your information is current, complete, and accurate and you agree to keep it updated.
• You are responsible for connectivity, hardware/software, and related charges.
• You are entirely responsible for maintaining the confidentiality of your Credentials and for all activities conducted through your account. Notify us immediately of any unauthorized use.

4. User Content Guidelines

The Websites may provide Interactive Areas where you can post or upload content (collectively, "User Content"). By submitting User Content you agree to the following:

1. Eligibility: Interactive Areas are available for individuals aged 13 years or older. By submitting you represent you are 13+ and, if under 18, emancipated or have parental/legal guardian consent.
2. Intellectual property & Acceptable Use: You will not post User Content that violates the Acceptable Use Policy or is protected by copyright, trademark, trade secret, right of publicity, or other proprietary right unless you have express permission. You bear the burden of ensuring rights clearance and will be liable for any infringement.
3. Removal & Moderation: We may remove or edit User Content that we determine, in our sole discretion, violates these Terms or restricts others’ use or enjoyment of the Websites. We are not obligated to monitor content but reserve the right to do so and to remove content at any time without notice.
4. No responsibility for accuracy: We are not responsible for the accuracy or credibility of User Content. By using Interactive Areas you may be exposed to content that is offensive, harmful, inaccurate or deceptive — you assume all such risks.
5. License you grant us: By submitting User Content you grant us a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, adapt, edit, translate, create derivative works from, distribute, sublicense, and otherwise exploit the User Content in any form, media or technology now known or hereafter developed, without payment. To the fullest extent permitted by law you waive moral rights in User Content.

5. Intellectual Property Rights

All Content on the Websites — including text, graphics, photos, trademarks, logos, icons, user interfaces, sounds, videos, artwork, software and code, and the “look and feel” (layout, design, structure, colour scheme, selection, combination and arrangement of Content) — is owned by or licensed to us and protected by copyright, trademark, trade dress and other laws.

6. Disclaimer of Warranty; Limitation of Liability

1. Use at your own risk: Use of the Websites is at your sole risk. We and our employees, agents, third-party providers and licensors make no warranty that access will be uninterrupted or error-free, nor any warranty as to results obtained or the accuracy, reliability or content of information through the Websites.
2. “As is”: The Websites are provided on an “as is” basis without warranties of any kind, express or implied, except where implied warranties cannot be excluded by applicable law.
3. Limitation of liability: To the fullest extent permitted by applicable law, Microcity Institute of Technical Studies will not be liable for personal injury, property damage, lost profits, substitute goods or services, loss of data, loss of goodwill, work stoppage, device or technology failure, or any direct, indirect, incidental, consequential, exemplary or punitive damages arising from use of the Websites or any alleged failure of performance, error, omission, interruption, deletion, defect, delay, virus, unauthorized access, or other cause.
4. Data security: We disclaim all liability for unauthorized access to or use of your personally identifiable information. If you disagree, do not access or use the Websites.

7. Indemnification

You agree to defend, indemnify, and hold harmless Microcity Institute of Technical Studies, its parent, officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or expenses (including attorneys’ fees) arising from:

1. Your use of and access to the Websites;
2. Your violation of any term of these Terms;
3. Your violation of any third party rights (copyright, property, privacy); or
4. Any claim that causes damage to a third party arising from your submissions or actions.

This obligation survives termination. We may take over exclusive defense where entitled to indemnification and you shall cooperate as reasonably requested.

8. Termination & Survival

We may suspend or terminate these Terms and your access to the Websites at any time without notice. If we determine your conduct to be unacceptable or in breach of these Terms, we may immediately terminate your access. Rights and obligations that by nature survive termination will continue in full force.

9. Governing Law & Venue

These Terms and disputes arising from access to or use of the Websites shall be governed by the laws of India applicable to contracts made and performed entirely therein, and parties agree to the exclusive jurisdiction of the courts located in New Delhi, India. Any cause of action must be commenced within one (1) year after it accrues or be permanently barred.

10. Dispute Resolution & Arbitration

1. Agreement to arbitrate: Unless prohibited by law, disputes will be resolved by binding arbitration under the Indian Arbitration and Conciliation Act, 1996. By entering these Terms you and we waive the right to a jury trial and to participate in a class action.
2. Arbitration rules: Arbitration will be conducted in New Delhi by a sole arbitrator in English, appointed under the Act.
3. If unenforceable: If arbitration section is unenforceable, the exclusive jurisdiction described above applies.

11. Copyrights and Copyright Agent

We respect intellectual property rights and may terminate access for users who post infringing material.

12. Virus Protection

We make efforts to check websites during production and operations, but we do not guarantee content is free of viruses or harmful components. We recommend running an up-to-date antivirus on files downloaded from the internet or external drives. We accept no liability for damage to your systems or data loss resulting from use of our Websites.

13. Assignment

We may assign these Terms at our discretion to affiliates, group companies, subsidiaries, or third parties without notice. You shall not assign these Terms without our prior written consent.

14. Miscellaneous

These Terms and any Website operating rules constitute the entire agreement between the parties regarding this subject and supersede prior agreements. The provisions are for the benefit of Microcity Institute of Technical Studies and third-party providers and licensors who may enforce them. No waiver of any breach is a waiver of other breaches. If any part is found invalid it will be replaced to reflect original intent and remaining sections remain binding. Headings are for convenience only.

15. Consent & Opt-in to Communicate

We may use your information to respond to inquiries, provide support, send important service information, and marketing communications (with your consent) via SMS, Email, WhatsApp, and Voice.
